Competition Council Clears Merger of Kosmelita and Bodybalt in Cosmetics Industry

The Competition Council has approved Kosmelita's acquisition of Bodybalt, allowing the companies to merge and operate in the cosmetics and personal care products market.


The Competition Council has given the green light for Kosmelita to acquire 100% of the shares of Bodybalt, a Latvian and Estonian company, enabling Kosmelita to take over sole control of these entities.

Bodybalt sells cosmetics and body care products under a franchise from The Bodyshop International Limited in Lithuania, Latvia, and Estonia, both in physical stores and online. On the other hand, Kosmelita operates Eurokos chain stores in Lithuania, offering similar products but not currently active in Latvia and Estonia. Post-merger, Kosmelita will expand its operations under The Body Shop brand in all three countries.

The merger was subject to notification and clearance by the Competition Council due to the combined revenues of the involved companies exceeding certain thresholds, ensuring that the transaction will not create or strengthen a dominant market position or significantly impede competition.
