CMA Clears Sugar Deal to Prevent Closure of Tereos' UK Retail Business

The Competition and Markets Authority provisionally approves T&L Sugars Limited's acquisition of Tereos UK & Ireland's retail sugar business to prevent the closure of Tereos' struggling UK retail business.


T&L Sugars Limited (TLS) announced their acquisition of Tereos UK & Ireland’s retail sugar business in November 2023, which supplies supermarkets, wholesalers, and foodservice customers in the UK.

The Competition and Markets Authority (CMA) initially had concerns about the deal reducing competition in the UK, as only 3 businesses supply the majority of sugar to customers like supermarkets and restaurants.

After an in-depth Phase 2 inquiry, the CMA provisionally cleared the deal, finding that without it, Tereos' UK retail business would likely close, leading to a loss of competition.

The independent inquiry group found that Tereos' UK retail business had been loss-making, and there was no less anti-competitive purchaser besides TLS, prompting the provisional approval of the merger.
