On March 6, 2024, Chaussea notified the Autorité de la concurrence of its intention to acquire 71 stores previously operated under the Chauss’expo brand. This acquisition is part of a court-ordered liquidation process, with the Lille Métropole Commercial Court assigning the assets to Chaussea on March 13, 2024.
Both Chaussea and Chauss’expo are significant players in the affordable footwear retail market in France. The Autorité de la concurrence assessed the potential competition risks associated with the takeover, particularly in areas where both brands have stores. The analysis revealed concerns in several local markets, including Audun-le-Tiche, Clermont-l’Hérault, and Dunkirk, where the merger could lead to higher prices and reduced choices for consumers due to the combined market share.
To mitigate these competition concerns, Chaussea has committed to divesting certain stores in the identified areas to one or more competitors. The divestiture aims to ensure that competition remains robust and that consumers continue to have access to a variety of affordable footwear options.
The Autorité will need to approve the proposed buyers to ensure they can effectively compete in the local markets. The divestitures will not result in store closures but will involve a change of ownership and branding, allowing for continued operation under a different banner.
In exceptional cases, the Autorité may grant a derogation allowing the parties to finalize parts of the transaction before receiving full clearance, particularly in situations involving court-ordered liquidations.
