Bundeskartellamt Approves Land Berlin's Acquisition of Flats and Land from Vonovia

The Bundeskartellamt has approved Land Berlin's acquisition of 4,500 flats and 40 hectares of undeveloped land from Vonovia, stating that it does not raise competition concerns.


The Bundeskartellamt has cleared Land Berlin's acquisition of significant housing and property stock from Vonovia SE by two companies owned by the Land Berlin. This includes the acquisition of all shares in PRIMA Wohnbauten Privatisierungs-Management GmbH by HOWOGE Wohnungsbaugesellschaft mbH.

Andreas Mundt, President of the Bundeskartellamt, mentioned that Land Berlin already owns around 22% of Berlin's rental flats and the planned acquisition from Vonovia, mainly in the Lichtenberg district, will only slightly expand its influence on the housing market.

As of the end of 2022, Land Berlin indirectly owned approximately 375,000 rental flats, representing about 22% of Berlin's total rental flats. The acquisition of the PRIMA portfolio will marginally increase this share to around 22.4%, well below the threshold for single firm dominance.

The Bundeskartellamt also approved the acquisition of all shares in Stadtentwicklungsgesellschaft Buch mbH by HOWOGE and Berlinovo Immobilien Gesellschaft mbH. The target company, Buch, owns a 40-hectare undeveloped plot of land in Berlin-Buch with potential for up to 1,200 flats, which will be jointly developed under municipal ownership.
