CNMC initiates sanctioning proceedings against KKR Genesis for failure to notify acquisition of GeneraLife

The Spanish competition authority, CNMC, has opened a sanctioning proceeding against KKR Genesis for not notifying its acquisition of fertility group GeneraLife, in violation of competition law.


The CNMC has initiated a sanctioning proceeding against KKR Genesis, a portfolio company of KKR, for failing to notify its acquisition of GeneraLife, a fertility group. Under Spanish competition law, companies are required to notify mergers and acquisitions to the CNMC before completing them if certain thresholds are met. In July 2023, the CNMC required KKR Genesis to notify the acquisition after it exceeded the market share threshold. The CNMC has authorized the acquisition in the first phase without commitments. The initiation of the proceeding does not prejudge the final outcome, and a maximum period of three months is now open for the investigation and resolution by the CNMC.
