The Competition Authority, led by Christian Schultz, intervened in Kingspan's acquisition of TreeTops Holding ApS due to concerns about competition in the market for wood-concrete ceiling panels. Kingspan's subsidiary, Troldtekt, and TreeTops were key players in this market, prompting the need to ensure competition post-merger.
Kingspan committed to divest TreeTops' business in wood-concrete ceiling panels to address competition issues. The Competition Authority's assessment concluded that even after the divestment, there would still be ample competition in the market, leading to the approval of the merger.
The approval of Kingspan's takeover of TreeTops Holding ApS was contingent on the divestment commitment. Kingspan, already owning Troldtekt with a significant market share in wood-concrete ceiling panels, faced scrutiny over potential price increases and product range limitations without the divestment.
Depo Holding, led by a former TreeTops co-owner, was approved by the Competition Authority as the buyer of the divested business. The transferred activities include supplier and customer agreements, along with the right to use the FibroTech brand for wood-concrete ceiling panels for a decade.
Kingspan, a subsidiary of Kingspan Group, operates globally in the construction industry, focusing on various building products. TreeTops, a Danish company acquired by Kingspan, specializes in wood-concrete ceiling panels, wall panels, composite fence panels, and terrace boards under the brand names FibroTech and Kirkedal.
