The Portuguese Competition Authority (AdC) has prohibited Vodafone's proposed acquisition of Nowo, citing significant impediments to competition and potential consumer harm. The decision follows an in-depth investigation that revealed the merger would increase market power for Vodafone and its competitors, leading to coordinated offers and reinforced barriers to market entry.
Vodafone is a major electronic communications operator in Portugal, offering a wide range of services nationwide. Nowo, on the other hand, provides services in limited regions of mainland Portugal and recently acquired spectrum for developing its mobile network. The AdC found that the merger would result in price increases, loss of consumer surplus, and social welfare, indicating a negative impact on market competition.
The AdC identified both unilateral and coordinated effects of the merger. Unilateral effects would lead to significant price hikes for Nowo's and Vodafone's services, while coordinated effects would increase the likelihood of coordinated behaviors among the main market operators. The proposed commitments by Vodafone to address competition concerns were deemed ineffective by the AdC, as they did not adequately mitigate the adverse effects of the merger.
