The Belgian Competition Authority approves the acquisition of Cooltrans, Cardon Logistique, Cooltrans 
Logistics, Jumax and Koeling by the STEF Group 
 
On 13 November 2024, the Belgian Competition Authority (“BCA”) approved the acquisition of Cooltrans, Cardon 
Logistique, Cooltrans Logistics, Jumax and Koeling (TDL Group) by the STEF Group, through its subsidiaries ImmoStef 
Belgique and STEF Transport. 
The concentration was notified on 5 November 2024 and the application of the simplified procedure was requested. 
The STEF  group  is  a  French  transport  and  logistics  company  listed  on  the  stock  exchange,  mainly  active  in  the 
temperature-controlled road transport of food products and in the provision of temperature-controlled logistics 
for food products in France and abroad, including in Belgium through some of its subsidiaries. 
Cooltrans, Cardon Logistique, Cooltrans Logistics and Koeling are companies active in Belgium in the temperature-
controlled  road  transport  of  food  products  and  in  the  provision  of  temperature-controlled  logistics  for  food 
products. Jumax is a real estate company. 
The notified concentration gives rise to horizontal overlaps in the Belgian activities of temperature-controlled road 
transport of food products and of temperature-controlled logistics for food products. 
In  its  decision  of 13 November 2024,  the  BCA found that  the  conditions  for  the  application  of  the  simplified 
procedure were met and that the notified concentration did not raise objections.

and implementation of competition policy in Belgium. Concretely, the BCA pursues anti-competitive practices, such 
as cartels and abuses of a dominant position, and reviews the main merger operations. The BCA cooperates with the 
other competition authorities of the member states of the European Union and the European Commission within the 
European Competition Network (ECN) 

Belgian Competition Authority Greenlights STEF Group's Acquisition of TDL Group

The Belgian Competition Authority has given the green light to the acquisition of Cooltrans, Cardon Logistique, Cooltrans Logistics, Jumax, and Koeling by the STEF Group. The approval was granted on 13 November 2024 after the application of a simplified procedure.

The STEF Group, a French transport and logistics company, is primarily involved in temperature-controlled road transport and logistics for food products in France and abroad. The acquired companies are active in Belgium in similar sectors, leading to horizontal overlaps in their activities.

The BCA found that the conditions for the simplified procedure were met and that the acquisition did not raise any concerns regarding competition in the relevant markets.



Belgian Competition Authority Greenlights STEF Group's Acquisition of TDL Group

The Belgian Competition Authority has approved the acquisition of several companies by the STEF Group, allowing the deal to proceed.
