Estonian Competition Council Approves Acquisition Deal Between Infortar and Tallink Grupp

The Estonian Competition Council has given the green light to Aktsiaselts Infortar's acquisition of a majority stake in Aktsiaselts Tallink Grupp, allowing Infortar to take over sole control of the company.


The Competition Council has cleared the transaction for Aktsiaselts Infortar to acquire 21.71% of the shares in Aktsiaselts Tallink Grupp, along with the existing shares, totaling 68.47%, and gain sole control of the company.

The Council received the notification of the intended concentration on 7 August 2024 and after assessing the transaction, concluded that it will not create or strengthen a dominant position or significantly impede competition in the relevant markets.

Aktsiaselts Infortar is an Estonian holding company with various affiliates involved in selling natural gas and electricity, managing energy infrastructure, producing energy, managing real estate, selling construction materials, and providing various services in Estonia and Lithuania.

Aktsiaselts Tallink Grupp, the ferry operator, offers mini-cruise, passenger, and cargo services in the North Baltic Sea region, operating between Estonia, Finland, Sweden, and Latvia under the Tallink and Silja Line brands. The company's affiliates are also involved in operating hotels, Burger King franchises, and retailing cosmetics, clothing, accessories, and more in the Baltics and Lithuania.

For a concentration to be cleared by the Competition Council, it must be notified and approved if the combined total revenues of the involved undertakings in the last year before the merger exceed EUR 20 million, with each of at least two undertakings having revenues exceeding EUR 2 million.
